The websites, www.arcticresearchfoundation.ca and www.arcticfocus.org, and all pages on that and related domains (the “Service”) is operated by the Arctic Research Foundation (“ARF”, “us”, or “we”). By browsing, visiting or otherwise interacting with that website and those pages you accept and agree with us to comply with these Terms of Use (the “Terms”) in connection with your use or access of the Service.

Website Content

ARF either owns the intellectual property rights in the text, audio clips, video clips, underlying computer code, designs, trademarks, images and other content that is made available to you through the Service (the “Content”) or has obtained the permission of the owner of the intellectual property rights in that Content to use it on this website.

You may not reproduce, publish, or use the Content without our express permission.

We have made the Content available through the Service on an “as is” basis and make no warranties or representations as to its accuracy, currency, and suitability for any purpose.

The Content may contain hyperlinks to other websites which are not part of the Service. You acknowledge that your access or use of those websites may be subject to such policies, practice, and terms as their operators may impose and that we are not responsible for any losses you incur in connection with you access or use of those websites.

Submissions

We may, from time to time at our discretion, display Content through the Service, including written pieces and images, submitted to us by users of the Service (all such Content, “User Content”).

If you submit content to us for publication through the Service, it amounts to User Content. By submitting your User Content to us, you represent and warrant that you hold all rights in that content necessary to allow us to reproduce, publish, and use that content and that nothing in that content is obscene, defamatory, or otherwise unlawful.

You further represent and warrant that nothing in the User Content you submit to us infringes upon any rights, including privacy, personality, or intellectual property rights, of any other person.

If you are not the sole author and rightsholder, you must identify all other authors and holders of rights to the User Content you submit to us. You must also disclose to us any actual and potential conflict of interest arising in connection with your submission.

By submitting User Content to us, you therein grant us a worldwide, perpetual, irrevocable, royalty-free license to reproduce, publish, display, and create derivative works using that content in connection with the Service.

You retain all intellectual property and moral rights you hold in content you submit to us.

We are not required to consider any submission of content that you make to us. You must make all of your submissions to us using an Account.

In our sole discretion, we may, at any time and for any reason, revise, remove, unpublish, or otherwise disassociate one or more pieces of User Content from the Service.

Accounts

You may create a user profile using the Service (an “Account”). When you create an Account, you must provide information that is accurate, complete, and current at all times.

You are responsible for safeguarding the password that you use to access your Account and for any activities undertaken using that Account. You agree not to disclose your password to any other person. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We may immediately terminate your Account without notice if we reasonably believe that the security of the Account or the Service has been compromised or that you have breached any provision of these Terms.

General

We may terminate or suspend access to our Service immediately without prior notice for any reason whatsoever.

In consideration for us making the Service available to you to use and access, you waive all rights to bring legal or administrative proceedings against us in connection with the Service.

You agree to indemnify us and hold us harmless from and against all losses, liabilities, and expenses of any kind (including reasonable attorney fees and costs) that we incur in connection with one or more of the following: (1) your breach of these Terms; (2) any activity in which you engage on or through the Service; and (3) your violation of any law or the rights of a third party.

The laws of Canada and the Province of Ontario govern all matters arising from these Terms. If you bring a proceeding against us in connection with these Terms or the Service, you may bring it only in the Province of Ontario, Canada.

Our failure to enforce any right or provision of these Terms is not a waiver of that or any other right.

If any provision of these Terms is held to be invalid or unenforceable by a court, that provision is to be disregarded and the remaining provisions of these Terms will remain in effect.

These Terms, as amended, constitute the entire agreement you and us regarding the Service, and supersede and replace any prior agreements we might have between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
